Articles of Incorporation

ARTICLES OF INCORPORATION OF INTERNATIONAL ASSOCIATION OF CEMETERY PRESERVATIONISTS, INC.,

The undersigned incorporator, a natural person 18 years of age or older, under Chapter 617, Laws of the State of Florida, providing for the formation, liability, rights, privileges and immunities of a not for profit corporation, adopts the following articles of incorporation. ARTICLE I
NAME
The name of this corporation shall be the International Association of Cemetery Preservationists, Inc., located at 1202 Deneece Terr., Holly Hill, FL  32117.
ARTICLE II
PURPOSE
This corporation is organized exclusively for charitable and educational purposes, more specifically to aid the community in cemetery preservation & restoration. To this end, the corporation shall at all times be operated exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as now enacted or hereafter amended, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code of 1986, as now enacted or hereafter amended. All funds, whether income or principal, and whether acquired by gift or contribution or otherwise, shall be devoted to said purposes.
ARTICLE III
EXEMPTION REQUIREMENTS
At all times shall the following operate as conditions restricting the operations and activities of the corporation:
1. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or others private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in the purpose clause hereof.
2. No substantial part of the activities of the corporation shall constitute the carrying on of propaganda or otherwise attempting to influence legislation, or any initiative or referendum before the public, and the corporation shall not participate in, or intervene in (including by publication or distribution of statements), any political campaign on behalf of, or in opposition to, any candidate for public office.
3. Notwithstanding any other provisions of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
ARTICLE IV
DURATION
The duration of the corporate existence shall be perpetual.
ARTICLE V
MEMBERSHIP/BOARD OF DIRECTORS
The corporation shall have a membership. The management of the affairs of the corporation shall be vested in a Board of Directors, as defined in the corporation's bylaws. No Director shall have any right, title, or interest in or to any property of the corporation.
The number of Directors constituting the first Board of Directors is 2, their names and addresses being as follows:

Members of the first Board of Directors shall serve until the first annual meeting, at which their successors are duly elected and qualified, or removed as provided in the bylaws.
ARTICLE VI
PERSONAL LIABILITY
No (member) officer, or Director of this corporation shall be personally liable for the debts or obligations of this corporation of any nature whatsoever, nor shall any of the property of the (members) officer, or Directors be subject to the payment of the debts or obligations of this corporation.
ARTICLE VII
DISSOLUTION
Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of by the District Court of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.

ARTICLE X
OFFICERS
The following officers shall manage the affairs of the organization: president and vice president. These officers will also be members of the Board of Directors (See Article IV of the By-Laws). The president shall be the chairman of the Board of Directors.
ARTICLE XI
APPOINTMENT OF OFFICERS
Upon date of incorporation of the International Association of Cemetery Preservationists, Inc., the subscribers hereto shall appoint all officers and directors for a one-year period. Thereafter, the officers and directors shall be appointments at the annual meeting or convention held during the first quarter of the calendar year as provided in the By-Laws.

ARTICLE XIV
AMENDMENTS
The By-Laws of the corporation may be altered, amended or rescinded at any annual meeting of the corporation by a two-thirds vote of those members present. Amendments to the Articles of Incorporation may be proposed by any member present at the annual meeting and shall be accomplished in the same manner as By-Law amendments.

By Laws
Article I
Name and Jurisdiction
Section 1. This organization shall be known as the International Association of Cemetery Preservationists, Inc. and has been in existence under that name since June of 2004.
Section 2. The jurisdiction of this organization is worldwide with a special emphasis on the Southeast.
Section 3. The principal office of this organization shall be located in the County of Volusia, State of Florida. The organization may have such other branches either within or without the State of Florida as the President may require from time to time.
Article II
Objects
Section 1. The objects of this organization shall be:
A. To provide volunteers, assistance, security and to raise funds to restore and preserve neglected, abandoned or otherwise needy cemeteries.
B. To attempt to restore these historic cemeteries to their original state.
C. To record the residents, condition and damage found in the cemeteries in the organization's official reports.
D. To record all forms of evidence for the damage found in these historic cemeteries and make necessary reports to the authorities.
E. To receive, manage, invest, expend or otherwise use the funds and property of this organization to carry out the duties and to achieve the objectives set forth in these By-Laws and for such additional purposes and objects not inconsistent therewith as will further the interests of this organization and its members, directly or indirectly.
Article III
Eligibility for Membership
Section 1. Subject only to the specific conditions stated hereinafter, any person of good moral character who has an interest in cemetery preservation and restoration shall be eligible for membership at the discretion of the President.
Section 2. Anyone wishing to become more involved with the organization may become an Active Member by subscribing as either a Sustaining Member or a Contributing Member if he or she meets the following requirements:
A. All Active Members must be at least twenty-one (21) years of age and have a valid ID or driver's license prior to joining.
1. If under 21 it is the sole discretion of the President as to the possibility of membership. Written permission from a parent or guardian is required. No under 21 members will be permitted on overnight security excursions unless accompanied by a parent or guardian.
B. He/she must fill out an Application For Active membership and submit to a photo session.
C. He/she must attend a brief one-on-one interview with the President prior to acceptance in IACP, Inc..
D. He/she must attend all quarterly meetings.
E. He/she must also attend all mini-meetings held at the IACP, INC. Headquarters in Holly Hill usually in June and August prior to scheduled cemetery cleanups. These mini-meetings will be approximately 1 hour in duration.
F. He/she must agree to donate time to IACP, Inc.’s cemetery preservation and restoration project. A minimum of 1 afternoon per month is required.
Section 3. No person shall be eligible for membership if:
A. He/she refuses to obligate himself to promptly pay the required membership fees and also renew promptly when notified.
B. There is reason to believe that he/she may not adhere to and abide by the By-Laws and our rules and regulations.
C. He/she advocates race, religious or class hatred.
D. His/her attendance to quarterly or mini-meetings, field trips, Special or Field cleanups falls below par in any given six (6) month period.
E. He/she neglects donated time to cemetery preservation and restoration for three (3) consecutive months.
Section 4. Your Active Membership can be permanently revoked if:
A. Attendance to IACP, Inc. sponsored events falls below average.
B. Divulging privileged or confidential information gathered at cemeteries with anyone outside the IACP, Inc. circle.
C. Attempting to undermine the credibility of the organization in anyway.
D. Arriving late to IACP, Inc.-sponsored events.
Section 5. Other membership points:
A. The President has the exclusive right to deny Active or Regular Membership to anyone who does not meet with the high standards set forth by the IACP, Inc..
B. All membership cards, including ID's, are the exclusive property of the IACP, Inc. and must be surrendered to the President upon request when dropped from the organization, member resigns or failure to renew said membership promptly.
C. Active Members will be issued ID's which remain the property of the IACP, Inc. and must also be surrendered when requested.
D. All Active Members are given a trial period of one year and evaluated at the end of that time. It is then up to the President whether or not the said member will be invited to renew as an Active Member. Renewal points taken into consideration are: attendance to quarterly meetings, Field work, Special and Field cleanups, ability to learn and grow with the IACP, Inc., neatness of appearance, willingness to contribute to the society as a whole and other general membership practices.
E. The President is not obligated in anyway to retain any individual that doesn't meet with the above mentioned criteria and others deemed necessary by the President.
F. The IACP, Inc. is not obligated to accept members who already have their own cemetery preservation organization established at the time of their joining. This is a conflict of interest and there will be no exceptions. However, it is fine if the new member belongs to other organizations.
G. The President reserves the right to waive membership fees to any potential or current member who is of lesser means, donates time to clerical work, donates regularly used equipment (such as: batteries, film, etc.).
Article IV
Officers
Section 1. Officers of this organization shall consist of a President and Vice-President. Other officers may include State Coordinators, Area Directors, Field Investigators, Special Consultants and Foreign Correspondents.
Section 2. Eligibility to hold appointed office shall be governed solely by the President and the provisions of the By-Laws.
A. All officers are appointed and not elected by the President. Their status and office may be revoked by the President at any time.
B. Appointed officers have a slightly higher ranking than an Active Member and are offered some special privileges.
C. Any Active Member may apply for any vacant position anytime after their one (1) year anniversary date. You must maintain a better than average attendance to all meetings and Field work.
D. Officers may be removed from their position at anytime by the President for any reason.
Section 3. It shall be the Duty of the President:
A. To preside at all meetings of this organization and to preserve order therein. He/She shall appoint all committees and shall also have the right to serve on all committees by virtue of his/her office.
B. To review and approve all final reports of collected data.
C. To appoint officers to the organization, create branches in other states or countries and to have sole power to dissolve any branches, officers or the organization as a whole at anytime.
D. To organize Field work, Special or Field Investigations for the membership and be in charge of such.
E. To inform members of days and times that members are required to be present for cemetery preservation and restoration projects.
Section 4. It shall be the Duty of the Vice-President:
A. To preside at all meetings in the absence of the President. He/she shall perform such other duties and render such assistance as may be directed by the President.  
Section 5. Other officers:
A. Foreign Correspondents are individuals in foreign countries that are not necessarily members of the IACP, Inc.. They are simply called upon by this organization for their expertise on the subject of cemetery preservation and restoration.
B. Special Consultants are individuals within the United States that are not necessarily members of the IACP, Inc.. They are called upon by the IACP, Inc. for the expert opinions in the subject of cemetery preservation and/or restoration.
C. This organization allows for a Board of Directors upon necessity.
Article V
Officers - Generally
Section 1. All officers of this organization when installed after appointment may be required to take the following obligation for office: "
I. ________________________________ do most sincerely promise, upon my honor, that I will truly and faithfully, to the best of my ability, perform the duties of my office, as prescribed in the By- Laws of this organization."
Section 2. All officers in the performance of their duties shall adhere to the terms of these By-Laws.
 
Article VI
Membership Fees
Section 1. Yearly dues shall be calculated by the type of membership an individual desires and are renewable every one calendar year.
A. Regular Membership
1. $5.00 per year which includes, IACP, Inc. membership card, discount on "Haunts of the World’s Most Famous Beach" tours and IACP, Inc.-sponsored events, on-line help and research requests and notification of upcoming events.  
B. Lifetime Membership
1. $175.00 one-time fee. Lifetime is defined as the either the lifetime of the individual or the lifetime of the organization as a whole. Lifetime memberships are not transferable upon death.  
C. Overseas Memberships
1. $10.00 per year with mandatory Internet access for correspondence. (Contributing Status)
D. Add-a-Spouse Membership
1. This program allows spouses to join this organization at a reduced rate. Therefore the second household member would be $4.00 for Active Membership renewed yearly with the first spouse.
2. Add-on's are still subject to the rigid constraints as the original member including interview with the President.
3. Both are expected to attend all meetings. However if job constraints are evident, then either can attend without penalty to either member.
Section 2. Renewal of Membership:
A. Notice will be sent within 60 days of your current memberships end. No second notice or reminders will be sent. Members are expected to renew promptly.
B. All Members need to renew their subscription according to the rate they joined at if they wish to remain Active.
C. Active Members who let their membership lapse for six (6) or more months must be re-interviewed and present their renewal dues in person to the President at the next regularly scheduled quarterly meeting. No exceptions!
Section 3. Change of Address:
A. All members must provide current change of address forms to this organization when they move.
Section 4. Any increase in membership rates will not go into effect until membership is up for renewal. This organization will not prorate the difference within the calendar year.
Article VII
Meetings
Section 1. Meetings shall be held quarterly beginning in February at 7:00pm at a designated location and are subject to change. Mini-meetings for Active Members only will be held on an irregular basis but prior to scheduled Field Investigation.
Section 2. Attendance is encouraged for all current members of this organization and is mandatory for all Active members. Length of meetings is usually two (2) hours with a five (5) minute break midway through and one and a half (1 1/2) hours for mini-meetings.
Section 3. Schedule of meetings:
A. Opening comments or last meetings minutes.
B. Slides or audio presentations.
C. Guest speakers, if any.
D. Reading of interesting letters or newspaper articles.
E. Five minute break.
F. Open floor discussion or question/answer time.
G. Video presentations.
H. Closing comments.
I. Adjournment.
Section 4. Mini-meetings of this organization for Active Members may be called by the President upon reasonable notice to the membership. These meetings will be held at the IACP, Inc. headquarters in Holly Hill. Notice and location will be given to all Active IACP, Inc. members.
Article VIII
Fiscal Year
The fiscal year of this organization shall be from January 1 to December 31.
Article IX
Official Logos
Section 1. All logos on this organization's business cards as well as those on other company shirts, letterhead, etc. are copyrighted and remain the property of the IACP, Inc.. This would also include cover designs for any newsletter and all special interest directories. These designs and logos cannot be reproduced without expressed written consent from the President and the International Association of Cemetery Preservationists, Inc..
Section 2. The designs on this organization's membership cards and identification cards are also copyrighted and cannot be duplicated under penalty of law.
Section 3. The title, International Association of Cemetery Preservationists, Inc. remains the exclusive property of the Association and cannot be used by any other organization or business under penalty of law
